RaW Modus Universal Software License Agreement

1. Agreement and Product Identification
This Universal Software License Agreement ("Agreement") governs the authorized use of the proprietary RaW Modus software platform developed and supplied by RaW Energy Systems LLC ("Licensor").
RaW Modus is a proprietary immersive visual architecture platform delivered on a compact HP computer with the software preinstalled and configured.
The purchaser ("Licensee") receives the supplied physical computer and a license to use the proprietary software under the conditions of this Agreement.
Purchasing the computer does not transfer ownership of the underlying software, its source code, or associated intellectual property.
2. Universal Software License
Subject to this Agreement, the Licensee receives a perpetual, nonexclusive license to operate the complete RaW Modus software on the original authorized computer supplied with the purchase.
The license permits both personal residential and lawful commercial use.
Every purchaser receives the same complete proprietary software platform. There are no separate residential or commercial software editions.
The license does not require recurring software subscriptions, annual renewal payments, per-room fees, per-location fees, or royalties on revenue generated through authorized commercial experiences.
3. Residential and Commercial Applications
The authorized system may be operated in compatible residential and commercial environments, including private residences, vacation properties, wellness studios, med spas, hotels, resorts, retreats, and other lawful business settings.
Commercial Licensees may charge guests or customers for access to an immersive visual experience using the authorized system.
The license does not authorize the Licensee to make medical or therapeutic claims concerning RaW Modus or to market the platform as a diagnostic or treatment device.
Applications involving animals remain subject to applicable safety, welfare, and professional requirements.
4. Portability and Relocation
The Licensee may relocate the original authorized RaW Modus computer between compatible rooms, residences, commercial buildings, business locations, and properties.
Such relocation does not require a new RaW Modus software license.
The software license is associated with the authorized computer rather than a designated room or permanent installation.
A hotel or resort operating one authorized RaW Modus computer may relocate that computer between compatible locations within its operations without incurring additional room-based software licensing fees.
Relocation does not authorize copying or installing the software on a different computer.
5. Multiple Displays and HDMI Distribution
The Licensee may connect the authorized computer to compatible external displays and may independently distribute a duplicate of the same video output using third-party HDMI distribution equipment.
This authorization permits multiple rooms or displays to receive the same visual presentation from one authorized RaW Modus computer.
It does not authorize independent copies of RaW Modus running on additional computers.
The number of functioning displays, distribution channels, or rooms depends on the independently selected audiovisual equipment, cabling, installation, and technical configuration.
RaW Energy Systems LLC does not guarantee the compatibility, reliability, capacity, or number of functioning outputs of independently purchased third-party distribution apparatus.
Additional independently operating RaW Modus computers require separate authorized platform purchases and licenses.
6. Product Inclusions and External Equipment
Each RaW Modus platform purchase includes one compact HP computer with the complete proprietary software preinstalled and configured, along with the operating instructions and accessories expressly identified in the product listing.
External monitors, televisions, HDMI distribution equipment, extension systems, mounting apparatus, furnishings, building modifications, and professional installation services are not included unless expressly stated in the purchase documentation.
The Licensee is responsible for independently obtaining, configuring, operating, and maintaining external audiovisual equipment.
The Licensee is also responsible for ensuring that installations comply with applicable electrical, building, safety, and other requirements.
7. Software Restrictions and Intellectual Property
RaW Energy Systems LLC retains ownership of the proprietary RaW Modus software, associated visual architecture, source code, and related intellectual property.
Except where applicable law provides otherwise, the Licensee may not:
Copy or install the proprietary software on additional computers without authorization.
Sell, distribute, sublicense, or provide independent copies of the software to third parties.
Remove or misrepresent proprietary ownership notices.
Circumvent software licensing protections.
Reverse engineer, decompile, or modify the proprietary software without authorization.
These restrictions do not prohibit the permitted display, relocation, or mirrored HDMI distribution activities described in this Agreement.
Any transfer of the complete system to a different legal owner must comply with the applicable written transfer terms and governing law. Relocation by the same Licensee is not a transfer of ownership.
8. Operation and Technical Responsibilities
RaW Modus is supplied with its proprietary software preinstalled and configured.
Ordinary operation consists of connecting the supplied computer to compatible display equipment and power, starting the computer, opening the RaW Energy Systems desktop application, selecting START, and minimizing the control panel.
Following an ordinary power interruption, the Licensee may restart the computer and repeat this procedure.
RaW Modus does not include an ongoing routine technical-support subscription, mandatory maintenance program, or guaranteed third-party audiovisual installation service.
The absence of a routine support program does not eliminate any warranty, product-defect, or legal obligations that apply to the supplied product.
9. Product Performance and Availability
RaW Modus is designed to provide a continuously evolving immersive visual presentation when operated with suitable equipment.
Performance depends on the authorized computer, compatible displays, power availability, and the configuration of the operating environment.
RaW Energy Systems LLC does not guarantee uninterrupted operation, compatibility with every external device, or performance of independently selected HDMI distribution hardware.
Any applicable written warranty, product-defect remedies, and procedures for addressing an unusable authorized computer are governed by the purchase documentation and applicable law.
10. Nonmedical Product Classification
RaW Modus is an immersive visual environment platform.
It is not a medical device and is not intended to diagnose, treat, cure, or prevent disease.
No specific medical, neurological, physiological, psychological, or therapeutic outcome is promised or guaranteed.
RaW Modus is not a substitute for professional medical or veterinary care.
11. Purchase Terms, Returns, and Legal Rights
The sale of the supplied computer and the license to operate the proprietary software are subject to the purchase terms presented before checkout.
Shipping arrangements, product availability, cancellation conditions, returns, refunds, and defective-product procedures are addressed in the applicable purchase documentation and Returns & Refunds Policy.
Nothing in this Agreement eliminates rights or remedies that cannot lawfully be excluded.
12. License Duration and Changes
The authorized software license is granted for perpetual use on the original authorized computer, subject to compliance with this Agreement and applicable law.
Relocating the authorized system between compatible locations does not terminate or alter the license.
Any proposed changes to the license for an existing purchaser must be handled in accordance with the applicable agreement and law. Changes to future product offerings do not automatically impose new recurring fees on licenses previously granted without such fees.
13. Governing Law
This Agreement is governed by the applicable laws of the State of Ohio, United States, except where mandatory law requires otherwise.
Any provision found unenforceable will be addressed to the extent permitted by law without automatically invalidating the remaining provisions.
14. Customer Acknowledgment
Before purchase, the Licensee is provided an opportunity to review the applicable product disclosures, software license, Terms of Use, and Returns & Refunds Policy.
Acceptance through the purchase process records the Licensee's acknowledgment of those terms, subject to applicable law.
